SYNDICATED STUDY LICENSE AGREEMENTS

The purchase and sale of KLINE & COMPANY, INC.'s ("Kline") syndicated studies in electronic form is subject to the following terms and conditions:

The purchase and sale of all Kline syndicated studies, in whole or in part, are covered by the terms described in the CORPORATE USE LICENSE AGREEMENT described below.

Additionally, the purchase and sale of parts of Kline's syndicated studies are covered by the INDIVIDUAL USE LICENSE AGREEEMENT described below.


CORPORATE USE LICENSE AGREEMENT

1. Copyright. The entire contents of the document are copyrighted by Kline & Company, Inc. ("Kline"). Only employees of the employer organization ("Licensee") of the individual accepting the terms of this agreement are entitled to use the document. Unauthorized reproduction or distribution of the publication, or any portion of it, may result in severe civil and criminal penalties, and will be prosecuted to the maximum extent necessary to protect the rights of Kline.

2. Rights to Copy and Distribute; Use Limited to Employees of Organization. To protect Licensee's investment in this report and that of Kline's other subscribers, licensee agrees that, for a period of three years after its date of issue, licensee will: (1) except as noted below, refrain from reproducing or copying this report in whole or in part by any means; (2) restrict its circulation to its own employees; and (3) use all reasonable precautions to prevent the disclosure of its contents to any other persons or organizations. Licensee may, however, make this report available to any subsidiary company in which it holds more than half interest, or to any parent company that holds more than a half interest in licensee. Licensee may also use or disclose any information in this report that is public knowledge, that was already in licensee's possession before receipt of the report, or that comes to licensee from third parties independently of this report. Kline similarly agrees that it will use all reasonable precautions to prevent the disclosure of the contents of this report to any persons or organizations other than subscribers for three years after its date of issue.

3. Inclusion of Content in Other Works. On an occasional basis, limited portions of Kline's syndicated studies may be included in written memoranda, reports and presentations prepared by authorized users, but only if such memoranda, reports and presentations are distributed or otherwise made available to a limited number of Licensee's employees for internal use, and provided that Kline is cited as the source of the incorporated material. In no event shall any content be made available to any third party.

4. Authorized employee. User acknowledges that he or she is an officer or authorized employee of licensee, and is thereby authorized to conduct this transaction. User acknowledges that this agreement is fully binding on the corporation and is non-cancelable. Further, the purchasing individual shall use reasonable efforts to inform other authorized users of the content of the restrictions on use thereof. User acknowledges that by clicking on the "I Agree" or similar button on the Kline & Company website, you are indicating your acceptance of the terms and conditions described herein, and that this shall constitute your signature. You should print or download a copy of this agreement for your records.

5. Federal law. User acknowledges and agrees that the user's consent is being provided in connection with a transaction affecting interstate commerce that is subject to the federal Electronic Signatures in Global and National Commerce Act, and that you and we both intend that the Act apply to the fullest extent possible to validate our ability to conduct business with you by electronic means.

INDIVIDUAL ELECTRONIC USE LICENSE AGREEMENT

1. Copyright. The entire contents of the subject document are copyrighted by Kline & Company, Inc.. Only employees of the employer organization ("Licensee") of the individual accepting the terms of this agreement are entitled to use the document. Unauthorized reproduction or distribution of the publication, or any portion of it, may result in severe civil and criminal penalties, and will be prosecuted to the maximum extent necessary to protect the rights of Kline.

2. Rights to Copy and Distribute; Use Limited to Employees of Organization. Use of the document is limited to the individual purchasing this electronic use license. However, the purchaser of this license may transmit electronic copies of the document to additional authorized employees of the organization ("Licensee") which employs the purchasing individual.
